Carilion laboratory subsidiary merging with Spectrum

By Vince GalloroPosted: January 28, 2010 – 11:00 am ETNot-for-profit Carilion Clinic, Roanoke, Va., said it will merge its clinical laboratory subsidiary with Spectrum Laboratory Network, Greensboro, N.C., creating a laboratory company serving 37 hospitals and 14,000 physicians in eight states and with more than $300 million in annual revenue.The deal requires Federal Trade Commission approval, and the parties hope to conclude it by the end of February, according to Carilion. The hospital system would own 33% of the new company and would appoint three members to its board. Novant Health, Winston-Salem, N.C., is a minority partner in Carilion Laboratory, and under the merger agreement, it would hold a stake in the new company and have the right to appoint one board member.Private-equity firm Welsh, Carson, Anderson & Stowe purchased Spectrum for $230 million in December 2009, according to Apax Partners, the firm that advised Spectrum’s investors on the sale and also when they acquired Spectrum in 2005. Spectrum was founded as a joint venture of High Point (N.C.) Regional Medical Center and Moses Cone Health System, Greensboro.

Carilion Labs to Merge with Spectrum Laboratory Network

Merger creates new and stronger regional hospital laboratory company

ROANOKE, Va.Carilion Labs has entered into an agreement to merge with Greensboro, North Carolina-based Spectrum Laboratory Network to form a major laboratory company offering comprehensive clinical, anatomic pathology and esoteric testing services.clabsThe merger will create a new and stronger regional hospital laboratory company, serving 37 hospitals and 14,000 physicians in eight states, with more than 2,600 employees and annual revenues above $300 million.  Carilion Clinic will own 33 percent of the new company. Carilion’s President and CEO, Edward G. Murphy, M.D., and two other Carilion appointees will sit on the board.  Novant Health, a minority owner in Carilion Labs, will remain an equity owner in the new company and will also hold a seat on the board. Carilion’s Medical Home model grabbing national spotlight

In the wake of the Roanoke Times’ article in the past Sunday’s paper — Giving patients a ‘medical home’: Carilion’s Vinton clinic model garners national attention for patient coordination — there’s been a lot of positive chatter about our patient-centered Medical Home model among healthcare social media writers.Our Parkway Vinton practice was the first of Carilion’s primary care facilities to employee the Medical Home model, with a planned rollout to other practices underway.Here’s an excerpt from the Times’ article:

The changes being made at the Vinton practice are attracting some national attention and being hailed as a model for improving care and lowering costs.After enduring an onslaught of negative publicity surrounding Carilion’s conversion to a clinic system, Carilion executives are welcoming the positive attention. Roanoke Valley Community Plays Key Role in VTC Student Interviews

The Virginia Tech Carilion School of Medicine has been utilizing a unique approach during its interview days with applicants: Members of the Roanoke Valley community are conducting the interviews. Some 80 people have been trained on how to interview students vying for 42 spots in the inaugural class, which arrives this August. As the Roanoke Times wrote in a Jan. 25 article:

“We were looking for people who have a sense of what Roanoke is as a community and can bring that flavor to the admissions process,” said Steve Workman, the school’s director of admissions. “So they help select people who they think will be happy here in Roanoke.”For those involved it was a chance to show the potential students how the community is supporting the new school.”I think first and foremost it sends the right message to our prospective students that this is Roanoke’s medical school,” said Bill Flattery, who is president of Carilion’s Bedford Memorial Hospital and one of the interviewers. “And it tells the community how important this medical school endeavor is to Roanoke, Virginia.”
